Bursa Malaysia Announcement

We refer to :-

(a) the announcement dated 19 July 2007 pertaining to the decision of the Federal Court on 19 July 2007 ("FC Judgment") in Metramac Corporation Sdn Bhd ("Metramac") v Fawziah Holdings Sdn Bhd under Federal Court of Malaysia Civil Appeal Numbers 02-19-2006 (W) and 02-20-2006 (W) ("FC Appeal"); and

(b) our disclosure in the quarterly report for the quarter ended 31 March 2007 announced on 30 May 2007, Note 24 pertaining to the Company's notice to Metacorp Berhad ("Metacorp") dated 17 February 2006 stating that the Company will seek full compensation from Metacorp for breach of its representations and warranties to the Company and the terms of the Share Sale Agreement dated 10 December 2004 ("Share Sale Agreement") made between Metacorp and the Company in respect of the acquisition of the entire issued and paid-up capital of Metramac in the event the outcome of the FC Appeal is not favourable ("the Said Letter").

The Company wishes to announce that it has today notified Metacorp that it withdraws the Said Letter based on the opinion of its solicitors that by reason of the FC Judgment and on the basis that the potential liability in Fawziah Holdings Sdn Bhd v Metramac Corporation Sdn Bhd under High Court of Malaya at Kuala Lumpur Civil Suit Number No. D5-22-110-1995 ("the Suit") will not exceed that disclosed by Metacorp to the Company for the purposes of the Share Sale Agreement, the Company does not have a cause of action against Metacorp for breach of warranties in respect of the Suit.
